THIS CONTEST IS OPEN TO CANADIAN RESIDENTS ONLY
(EXCLUDING QUEBEC) AND IS GOVERNED BY CANADIAN LAW

1. CONTEST PERIOD:

The What Cookie Are You Today (Q2)? Contest (the “Contest”) begins on October 1, 2018 at 12:00:01 a.m. Eastern Time (“ET”) and ends on January 31, 2019 at 11:59:59 p.m. ET (the “Contest Period”).

2. AGREEMENT TO BE LEGALLY BOUND BY RULES:

By participating in this Contest, you are signifying your agreement that you have read and agree to be legally bound by the terms and conditions of these Official Rules and Regulations (the “Rules”).

3. ELIGIBILITY:

The Contest is only open to residents of Canada (excluding residents of Quebec) who have reached the age of majority in their province/territory of residence at the time of entry. Despite the foregoing, employees, representatives and/or agents of 2130637 Ontario Inc. (operating as "Mary Macleod's Shortbread") (the “Sponsor”), its associated companies, affiliates, advertising/promotion agencies, BTI Brand Innovations Inc. (the “Administrator”) and any other entity or entities involved in the development, production, administration, judging or fulfillment of the Contest (collectively, the “Contest Parties”), and those persons living in the same household of any such individual (whether related or not), are not eligible to participate in the Contest or win a Prize (defined below).

4. HOW TO ENTER:

NO PURCHASE NECESSARY. To enter, go to mycookie.marymacleod.ca (the “Website”) and follow the on-screen instructions to answer five (5) Contest quiz questions (the “Quiz”). After completing the Quiz, follow the on-screen instructions to submit your email address and, if you have not previously fully completed the Official Contest Entry Form (the “Entry Form”) (as determined by the Administrator at its sole an absolute discretion based on the email address provided by entrants in connection with previously submitted Entry Forms), fully complete the Entry Form with all required information, which includes a requirement to: (i) enter your first name, last name and email address; and (ii) signify your agreement that you have read and agree to be legally bound by the terms and conditions of these Official Rules and Regulations (the “Rules”). Once you have fully completed the Quiz and an Entry Form (NB: You will only be required to submit the Entry Form one [1] time – for subsequent Contest participation, please simply submit the email address you provided in connection with your Entry Form) you will be provided with: (i) one (1) main entry (each, a “Main Entry”); and (ii) a unique promotion code (each, a “Promo Code”) that can be redeemed for $5 off, when you spend $40 or more (before applicable taxes and shipping costs) in the course of a Mary Macleod’s online purchase from www.marymacleod.ca (an “Eligible Online Purchase”). To be eligible, your Quiz answers and Entry Form must be submitted and received in accordance with these Rules during the Contest Period (as determined by the Administrator at its sole and absolute discretion on the basis of its official records). There is a limit of one (1) Main Entry per person/email address per Day (defined below). There is a limit of one (1) Promo Code per person/email address per Day.

5. HOW TO OBTAIN A BONUS ENTRY:

NO PURCHASE NECESSARY. There are two (2) ways to obtain a Bonus Entry (defined below), as follows:

A. Referral: After completing the entry procedure outlined above, you will have the option (and, for greater certainty, you will not be required) to earn a referral Bonus Entry (each, a “Referral Bonus Entry”) by referring the Contest to a friend or family member. To refer a friend or family member, follow the on-screen instructions to enter his/her unique full name and email address in the spaces provided. You will receive one (1) Referral Bonus Entry (to a maximum of three [3] Referral Bonus Entries per person/email address per Day during the Contest Period, and a total limit of twelve (12) Referral Bonus Entries per person/email address throughout the Contest Period) for each unique friend or family member you refer in accordance with these Rules (as determined by the Administrator in its sole and absolute discretion), including, without limitation, the limits on Referral Bonus Entries provided in Rule 6 below. You may only refer the Contest to friends and family members from whom you have received permission to provide their email address to the Administrator. You may only refer friends with whom you have had a direct voluntary two way communications, and with whom it is reasonable to conclude you have a personal relationship considering shared interests, experiences, opinions and other relevant factors. You may only refer family members to whom you are related by, marriage, a common-law partnership, or parent-child relationship, and with whom you have had direct voluntary two way communications. You cannot invite the same friend or family member more than once. Each friend or family member will be sent an email containing a link to the Contest website. This email will indicate that it has been sent on your behalf and will identify you. The referred email addresses will only be used by the Administrator for the purpose of contacting your friend(s) or family member(s), on your behalf, to provide information about the Contest so they can enter if they choose to do so and they will not be added to any direct marketing list or used in any direct marketing programs without their consent. You, your friend(s) and family member(s) may withdraw consent for us to use your personal information. For further information, please consult the Administrator’s Privacy Policy (available at: http://www.marymacleod.ca/privacy_policy).

B. Promo Code Redemption/Mail-in Request: After completing the entry procedure outlined above, you will have the option (and, for greater certainty, you will not be required) to earn Promo Code Bonus Entries (each, a “Promo Code Bonus Entry”) by redeeming your Promo Code for $10 off an Eligible Online Purchase during the Contest Period (an “Eligible Redemption”). You will receive five (5) Promo Code Bonus Entries (subject to the limits on Promo Code Bonus Entries provided below) for each Eligible Redemption you perform in accordance with these Rules (as determined by the Administrator in its sole and absolute discretion). Alternatively, you may earn Promo Code Bonus Entries without having to perform an Eligible Redemption by printing your first name, last name, telephone number, complete mailing address and email address on a plain white piece of paper and mail it (in an envelope with sufficient pre-paid postage), along with a sentence describing “Why you love Mary Macleod’s Shortbread cookies?”, to: 302 Queen Street South, Mississauga ON, L5M 1M2 (collectively, a “Mail-in Request”). To be eligible, your Mail-in Request must be post-marked during the Contest Period and received by no later than five (5) days after the close of the Contest Period. Each Mail-in Request must be mailed in a separate envelope bearing sufficient postage. You will receive five (5) Promo Code Bonus Entries (subject to the limits on Promo Code Bonus Entries provided below) for each Mail-in Request that is received in accordance with these Rules (as determined by the Administrator in its sole and absolute discretion). The Released Parties (defined below) will not be responsible for any lost, stolen, delayed, illegible, damaged, misdirected, late or destroyed Mail-in Requests. There is a limit of five [5] Promo Code Bonus Entries per person/email address per Day during the Contest Period (regardless of the method employed to obtain such Promo Code Bonus Entries), and a total limit of fifteen (15) Promo Code Bonus Entries per person/email address throughout the Contest Period (regardless of the method employed to obtain such Promo Code Bonus Entries). In relation to Mail-in Requests, the Administrator will refer to the date post-marked on Mail-in Requests for the purposes of enforcing these limits.

Collectively, Referral Bonus Entries and Promo Code Bonus Entries will be referred to as “Bonus Entries”. Collectively, Main Entries and Bonus Entries will be referred to as “Entries”.

6. ENTRY LIMITS:

There is a limit of one (1) Main Entry per person/email address per Day (a “Day” is defined as beginning at 12:00:01 a.m. ET and ending at 11:59:59 p.m. ET) during the Contest Period. There is a limit of three (3) Referral Bonus Entries per person/email address per Day during the Contest Period and a total limit of twelve (12) Referral Bonus Entries per person/email address throughout the Contest Period. There is a limit of five [5] Promo Code Bonus Entries per person/email address per Day during the Contest Period (regardless of the method employed to obtain such Promo Code Bonus Entries), and a total limit of fifteen (15) Promo Code Bonus Entries per person/email address throughout the Contest Period (regardless of the method employed to obtain such Promo Code Bonus Entries). For greater certainty and the avoidance of any doubt, you can only use one (1) email address to enter and participate in the Contest. If it is discovered by the Administrator (using any evidence or other information made available to or otherwise discovered by the Administrator) that any person has attempted to: (i) exceed any of the limit on Entries provided in these Rules; and/or (ii) use multiple names, identities, email addresses and/or any automated, macro, script, robotic or other system(s) or program(s) to enter or otherwise participate in or to disrupt this Contest; then he/she may be disqualified from the Contest in the sole and absolute discretion of the Sponsor. Your Main Entry (and your Bonus Entries, if applicable) may be rejected if (in the sole and absolute discretion of the Sponsor) your Entry Form is not fully completed with all required information and submitted and received in accordance with these Rules during the Contest Period. The Released Parties (defined below) are not responsible for late, lost, misdirected, delayed, incomplete or incompatible Entries (all of which are void).

7. VERIFICATION:

All Entries are subject to verification at any time and for any reason. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor – including, without limitation, government issued photo identification): (i) for the purposes of verifying an individual’s eligibility to participate in this Contest; (ii) for the purposes of verifying the eligibility and/or legitimacy of any Entry or other information entered (or purportedly entered) for the purposes of this Contest; and/or (iii) for any other reason the Sponsor deems necessary, in its sole and absolute discretion, for the purposes of administering this Contest in accordance with these Rules. Failure to provide such proof to the complete satisfaction of the Sponsor within the timeline specified by the Sponsor may result in disqualification in the sole and absolute discretion of the Sponsor. The sole determinant of the time for the purposes of this Contest will be the Contest server machine(s).

8. THE PRIZE AND APPROXIMATE RETAIL VALUE:

There will be one (1) prize (the “Prize”) available to be won. The Prize consists of “Free Cookies For a Year” awarded in the form of one (1) free package of cookies (the types of cookies and flavours will be selected by the Sponsor in its sole and absolute discretion) that will be sent to the confirmed winner’s residence in Canada (excluding Quebec) once a month for twelve (12) consecutive months. The approximate retail prize value of the Prize is $420 CAD (the “Prize”). The Prize must be accepted as awarded and is not transferable, assignable or convertible to cash (except as may be specifically permitted by Sponsor in its sole and absolute discretion). All characteristics and features of the Prize, unless otherwise explicitly described above, are at the Sponsor’s sole and absolute discretion. No substitutions except at Sponsor’s option. Sponsor reserves the right, in its sole and absolute discretion, to substitute the Prize or a component thereof with a prize of equal or greater retail value, including, without limitation, but at Sponsor’s sole and absolute discretion, a cash award.

9. WINNER SELECTION PROCESS:

On February 7, 2019 (the “Draw Date”) in Mississauga, Ontario at approximately 1 p.m. ET, one (1) eligible entrant will be selected by random draw from among all eligible Entries provided in accordance with these Rules. The odds of winning depend on the number of eligible Entries provided in accordance with these Rules.

10. WINNER NOTIFICATION PROCESS:

The Administrator will make a minimum of three (3) attempts to contact the selected entrant (using the email address provided in connection with his/her Entry Form) within five (5) business days of the Draw Date. If the selected entrant cannot be contacted within five (5) business days of the Draw Date, or if there is a return of any notification as undeliverable; then he/she may, in the sole and absolute discretion of the Administrator, be disqualified (and, if disqualified, will forfeit all rights to the Prize) and the Sponsor reserves the right, in its sole and absolute discretion and time permitting, to randomly select an alternate eligible entrant from among the remaining eligible Entries provided in accordance with these Rules (in which case the foregoing provisions of this section shall apply to such newly selected entrant).

11. WINNER CONFIRMATION PROCESS:

BEFORE BEING DECLARED THE CONFIRMED PRIZE WINNER, the selected entrant will be required to: (a) correctly answer a mathematical skill-testing question without mechanical or other aid (which may, in the sole and absolute discretion of the Sponsor, be administered online, by email or other electronic means, by telephone, or in the Sponsor’s form of declaration and release); and (b) sign and return within ten (10) business days of notification the Sponsor’s declaration and release form, which (among other things): (i) confirms compliance with these Rules; (ii) acknowledges acceptance of the Prize (as awarded); (iii) releases the Contest Parties and each of their respective officers, directors, employees, agents, representatives, successors and assigns (collectively, the “Released Parties”) from any and all liability in connection with this Contest, his/her participation therein and/or the awarding and use/misuse of the Prize or any portion thereof; and (iv) agrees to the publication, reproduction and/or other use of his/her name, address, voice, statements about the Contest and/or photograph or other likeness without further notice or compensation, in any publicity or advertisement carried out by or on behalf of the Sponsor in any manner or medium whatsoever, including print, broadcast or the internet. If the selected entrant: (a) fails to correctly answer the skill-testing question; (b) fails to return the properly executed Contest documents within the specified time; (c) cannot accept (or is unwilling to accept) the Prize (as awarded) for any reason; and/or (d) is determined to be in violation of these Rules (all as determined by the Sponsor in its sole and absolute discretion); then he/she may, in the sole and absolute discretion of the Sponsor, be disqualified (and, if disqualified, will forfeit all rights to the Prize) and the Sponsor reserves the right, in its sole and absolute discretion and time permitting, to randomly select an alternate eligible entrant from among the remaining eligible Entries provided in accordance with these Rules (in which case the foregoing provisions of this section shall apply to such newly selected entrant).

12. GENERAL CONDITIONS:

All Entries become the property of the Sponsor. This Contest is subject to all applicable federal, provincial and municipal laws. The decisions of the Sponsor and Administrator with respect to all aspects of this Contest are final and binding on all entrants without right of appeal, including, without limitation, any decisions regarding the eligibility/disqualification of Entries and/or entrants. By participating in this Contest, you are agreeing to be legally bound by the terms and conditions of these Rules. ANYONE DEEMED BY THE SPONSOR OR ADMINISTRATOR TO BE IN VIOLATION OF THESE RULES FOR ANY REASON IS SUBJECT TO DISQUALIFICATION IN THE SOLE AND ABSOLUTE DISCRETION OF THE SPONSOR AND/OR ADMINISTRATOR AT ANY TIME.

The Released Parties will not be liable for: (i) any failure of the Website during the Contest; (ii) any technical malfunction or other problems of any nature whatsoever, including, without limitation, those relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; (iii) the failure of any Entry or other information to be received, captured or recorded for any reason whatsoever, including, but not limited to, technical problems or traffic congestion on the internet or at any website; (iv) any injury or damage to an entrant’s or any other person’s computer or other device related to or resulting from participating in the Contest; and/or (v) any combination of the above.

In the event of a dispute regarding who submitted an Entry Form, the Sponsor reserves the right, in its sole and absolute discretion, to deem the Entry Form to have been submitted by the authorized account holder of the email address submitted in connection with such Entry Form. “Authorized account holder” is defined as the person who is assigned an email address by an internet provider, online service provider, or other organization (e.g. business, educational institute, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. An entrant may be required to provide proof (in a form acceptable to the Sponsor – including, without limitation, government issued photo identification) that he/she is the authorized account holder of the email address submitted in connection with the Entry Form in question.

The Sponsor reserves the right, at its sole and absolute discretion, to withdraw, amend or suspend this Contest (or to amend these Rules) in any way, in the event of any cause beyond the reasonable control of the Sponsor that interferes with the proper conduct of this Contest as contemplated by these Rules, including, without limitation, any error, technical problem, computer virus, bugs, tampering, unauthorized intervention, fraud or technical failure. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Contest in any way (as determined by Sponsor in its sole and absolute discretion) is a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law. The Sponsor, at its sole and absolute discretion, reserves the right to cancel, amend or suspend this Contest, or to amend these Rules, in any way without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any other reason whatsoever. Without limiting the generality of the forgoing, the Sponsor reserves the right, in its sole and absolute discretion, to administer an alternate test of skill as it deems appropriate based on the circumstances and/or to comply with applicable law.

By entering this Contest, each entrant expressly consents to the Administrator, its agents and/or representatives, storing, sharing and using the personal information submitted as outlined in these Rules only for the purpose of administering the Contest and in accordance with the Administrator’s privacy policy (available at: http://www.marymacleod.ca/privacy_policy). This section does not limit any other consent(s) that an individual may provide the Administrator, the Sponsor or others in relation to the collection, use and/or disclosure of their personal information.

The Sponsor reserves the right, at its sole and absolute discretion, to adjust any of the dates, timeframes and/or other Contest mechanics stipulated in these Rules, to the extent necessary, for purposes of verifying compliance by any entrant or Entry with these Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of the Sponsor, in its sole and absolute discretion, affect the proper administration of the Contest as contemplated in these Rules, or for any other reason.

In the event of any discrepancy or inconsistency between the terms and conditions of these Rules and disclosures or other statements contained in any Contest-related materials, including, but not limited to: the Entry Form, Website, and/or point of sale, television, print or online advertising; the terms and conditions of these Rules shall prevail, govern and control to the fullest extent permitted by law.
